Terms of Service

Please read these Terms carefully. By creating an account, listing a startup, or otherwise using DeadSaaS, you agree to be bound by them.

Bracketed items (jurisdiction, optional arbitration) are placeholders to be finalized with legal counsel before launch.

1. What DeadSaaS Is (and Is Not)

DeadSaaS is an online marketplace and venue that allows users ("Sellers") to list software businesses, applications, code, and related digital assets ("Listings") and allows other users ("Buyers") to discover and pursue the acquisition of those assets. DeadSaaS is only a venue. We are not a party to any transaction, agreement, or communication between Buyers and Sellers. We are not a broker, dealer, agent, fiduciary, financial advisor, legal advisor, escrow agent, or appraiser, and we do not represent either party in any transaction. Any contract for the sale or transfer of any asset is solely between the Buyer and Seller.

2. No Verification, Endorsement, or Guarantee

While we may offer tools that allow Sellers to connect data sources or label Listings as "verified," you acknowledge and agree that DeadSaaS does not independently audit, guarantee, or warrant the accuracy, completeness, or truthfulness of any Listing, metric, revenue figure, user count, code, or representation made by any user, including anything labeled "verified." All due diligence is the sole responsibility of the Buyer.

3. User Responsibilities and Conduct

You are solely responsible for your own conduct, Listings, communications, and transactions. You represent that you have the legal right to list or transfer any asset you offer, that all information you provide is accurate and not misleading, that you will comply with all applicable laws, and that you will not use the Platform to defraud, mislead, or harm any other user. You are responsible for any taxes arising from your transactions.

4. Transactions, Payments, and Transfers

Any payment, escrow, or asset transfer facilitated in connection with the Platform may be processed by independent third-party providers (such as licensed escrow and payment services), which are governed by their own terms. DeadSaaS is not responsible for their acts, omissions, fees, or failures, and does not hold, transmit, or control user funds.

5. Assumption of Risk

You understand that buying and selling software businesses carries significant risk, including the risk of inaccurate information, fraud, failed transfers, undisclosed liabilities, non-performing assets, and total loss. You knowingly and voluntarily assume all such risks. Any dispute arising from a transaction is solely between the Buyer and Seller.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, DEADSAAS AND ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR ANY TRANSACTION.

8. Indemnification

You agree to defend, indemnify, and hold harmless DeadSaaS and its owners, officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your Listings or transactions, your breach of these Terms, or your violation of any law or third party’s rights.

9. Florida Consumer Protection; Non-Waiver

Nothing in these Terms is intended to waive any right or remedy that cannot lawfully be waived, including rights under the Florida Deceptive and Unfair Trade Practices Act (FDUTPA), Sections 501.201–501.213, Florida Statutes.

10. Dispute Resolution Between Users

Any dispute between a Buyer and Seller is to be resolved directly between those parties. DeadSaaS has no obligation to mediate, arbitrate, or resolve such disputes, though we may, at our sole discretion and without obligation, provide limited assistance.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state or federal courts located in [Pasco County], Florida, and you consent to the personal jurisdiction of those courts.

12. Electronic Acceptance

You agree that clicking "I agree," creating an account, or using the Platform constitutes your electronic signature and acceptance of these Terms, which is valid and enforceable under Florida’s electronic transactions law (Florida UETA, Chapter 668, Florida Statutes).

13. Suspension and Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including suspected fraud or violation of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15. Severability; No Waiver; Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. These Terms are the entire agreement between you and DeadSaaS regarding the Platform.

By using DeadSaaS, you acknowledge that you have read, understood, and agree to these Terms of Service.
